Notwithstanding the foregoing, the obligation of confidentiality stated in the Section -----shall not apply to:

盡管有上述規(guī)定，本協(xié)議第-----條中規(guī)定的保密義務對以下信息不適用:

(a)information known by the receiving party or the general public at the time of disclosure or which thereafter becomes known to the general public through no fault of the receiving party;

在一方披露時已經是接收方或公眾所知的信息，或者此后由于非接收方的過錯而成為公眾所知的信息。

(b)the disclosure of information which is necessary in order to comply with applicable law, order, the requirements of a stock exchange or other governmental authorities;

為遵守適用的法律、秩序、證券交易所或其他政府機構的要求而必須披露的信息；

(c)information which has been independently developed by the receiving party without the use of the Confidential Information;

接收方在未使用機密信息的情況下獨立開發(fā)的信息；

(d)information which has been disclosed to a party by a third party without any breach of confidentiality obligation to the disclosing party, or

由第三方向其中一方披露的信息，且未違反對披露方的保密義務，或

(e)information which has been approved for disclosure by consent of the disclosing party.
